LLC QUESTIONNAIRE
1. LLC Name
What will be the name of your LLC? The name of your LLC must be distinguishable from other registered California LLCs. The State does not want the public to be confused or misled if there are two LLCs with the same name, so it is wise to choose a name that is unique enough and not already taken by another LLC. Your LLC’s name must also include the words “limited liability company,” or an abbreviated version of those words, such as “LLC,” “L.L.C.,” etc. For example, “XYZ LLC.”

4. Agent for Service of Process
Your LLC needs an Agent for Service of Process. An Agent for Service of Process is an individual or authorized corporation designated to receive legal documents on behalf of your LLC. For most small businesses, the Agent is often times one of the owners or officers of the company. Your LLC may select another California corporation to serve as its Agent, but that company must be specifically registered with the State to serve as a corporate Agent for Service of Process.

5. Members & Managers
Who will manage your LLC? Your LLC can be managed by one manager, more than one manager, or by all LLC members. The LLC members are the owners of the LLC and can be individuals or other entities. The managers can be, but don’t necessarily need to be LLC members. If you elect to have one or more managers manage the LLC, the manager(s) answer to the LLC members. If your LLC will be managed by all LLC members, you do not need to designate any LLC managers. Only one LLC member is required to own and manage an LLC. LLC DOCS & SERVICES
IRS EIN Registration
(Optional) - All LLCs are required to obtain an Employer Identification Number (EIN) from the IRS, which is used to open bank accounts, file taxes, etc. We can obtain one online for your LLC for an additional fee.

Federal BOI Registration
(Optional) - All LLCs are required to file a Beneficial Ownership Information (BOI) Report with the Department of Treasury. We can file one online for your LLC for an additional fee.

LLC Operating Agreement
(Optional) - The Operating Agreement is the main governing document of an LLC. It serves to provide the general framework for how an LLC operates. The Operating Agreement outlines member/manager meeting procedures, voting rights, duties and responsibilities of members, managers or officers, and more. An Operating Agreement is not required to form your LLC, but it is an important document of the LLC, especially if your LLC has or will have more than one owner/member. We can prepare your LLC’s Operating Agreement for an additional fee.
