CORPORATION QUESTIONNAIRE

1. Corporation Name

What will be the name of your corporation? The name of your corporation must be distinguishable from other registered California corporations. The law does not want the public to be confused or misled if there are two corporations with the same name, so it is wise to choose a name that is unique enough and not already taken by another corporation. There are certain requirements, such as for close corporations, that your corporation’s name must also include one of the following words, “corporation,” “incorporated,” or “limited,” or the abbreviated versions of the same words, such as “Corp,” “Inc.,” or “Ltd.” For example, “XYZ Incorporated” or “XYZ Inc.”

2. Physical Address

What will be the physical address of your corporation? You cannot use a PO box. A PO box can be used for your mailing address (next question) if you have one.

3. Mailing Address

Will your corporation have a different mailing address? If your corporation's mailing address is the same as its physical address, skip this section.

4. Agent for Service of Process

Your corporation needs an Agent for Service of Process. An Agent for Service of Process is an individual or authorized corporation designated to receive legal documents on behalf of your corporation. For most small businesses, the Agent is often times one of the owners or officers of the company. Your corporation may select another California corporation to serve as its Agent, but that company must be specifically registered with the State to serve as a corporate Agent for Service of Process.

Through our parent company, we are specifically authorized by the State to serve as a corporate Agent for Service of Process. "CHECK" the box below if you would like us to serve as your corporate Agent for Service of Process for an additional annual fee (Optional).

5. Stock

How many shares of stock will your corporation issue? Your corporation must designate a certain number of shares of stock to issue in the beginning. This is somewhat of an arbitrary number, but the number of shares is sometimes based on the corporation’s plans in the future, such as, selling stock to investors to raise money. Don’t worry though, this number can be changed later if you want to increase the number of shares in the future. Many small businesses issue anywhere from 100 to 1,000,000 shares of stock, initially. There is no wrong answer.

6. Officers

Your corporation needs officers. The initial officers of the corporation are the Chief Executive Officer, the Secretary, and the Chief Financial Officer. These individuals are responsible for the day-to-day operations of the company. Please provide the name and address of each officer. The officers can be different people or all the same person. Many small corporations are operated by only one person, so that person serves as all three officers.

7. Directors

The directors make up the corporation’s Board of Directors and vote on major decisions of the corporation. They also appoint and oversee the officers, and manage the corporation at a high level. For many small corporations, the directors are also the officers. Your corporation is only required to designated one director, but if you wish to designate more than one director, for voting purposes of otherwise, please provide their names and addresses below.

8. Board of Director Vacancies

Your Board of Directors (the "Board") is the panel of directors you designated previously. You have the option to leave “seats” open on the Board (the “vacancies”) if you want to appoint more directors in the future, but you are not required to do so. If you wish to leave any vacancies open on the Board, enter the number of vacancies below. If you do not wish to leave any vacancies open, leave it blank. This can be changed later.

9. Business Activity

What type of business activity will the corporation be engaged in? For example, consulting services, retail, construction, etc. Please enter the main business activity of the corporation below.

CORPORATE DOCS & SERVICES

IRS EIN Registration

(Optional) - All corporations are required to obtain an Employer Identification Number (EIN) from the IRS, which is used to open bank accounts, file taxes, etc. We can obtain one online for your corporation for an additional fee.

Federal BOI Registration

(Optional) - All corporations are required to file a Beneficial Ownership Information (BOI) Report with the Department of Treasury. We can file one online for your corporation for an additional fee.

"S" Corp Election

(Optional) - Many tax professionals recommend electing to be an "S" corporation for federal tax purposes if your corporation is a small business. This allows your corporation to "pass-through" the profits and losses of the company to its individual owners and avoid "double-taxation" of profits (Consult a tax professional for more info). If you would like us to convert your standard "C" corporation (as it's registered with the State) to an "S" corporation with the IRS, we can prepare the appropriate form for an additional fee.

Corporate Bylaws

(Optional) - Corporate Bylaws are one of the main governing documents of a corporation. They serve to provide the general framework for how the corporation operates. Bylaws outline corporate meeting procedures, voting rights, duties and responsibilities of the officers and directors, and more. Bylaws are not required to form your corporation, but they may be useful in the future. We can prepare your corporation’s Bylaws for an additional fee.

Shareholders' Agreement

(Optional) - The main purpose of a Shareholders’ Agreement is to identify the owners of the corporation (the “shareholders”) and how much each shareholder owns by how many shares of stock each shareholder was issued. A Shareholders’ Agreement can be helpful to define ownership in the corporation, but that can also be done by issuing stock certificates. A Shareholders’ Agreement is not required to form the corporation, but it may be useful in lieu of stock certificates. We can prepare a Shareholders’ Agreement for your corporation for an additional fee.

Stock Certificates

(Optional) - Stock Certificates are official certificates of the corporation that can be completed and issued to the shareholders to demonstrate each shareholder’s ownership interest in the company. Stock Certificates are not required to form the corporation, but they can be useful if a Shareholders’ Agreement is not in place. We can have custom stock certificates created for your corporation for an additional fee.
